Membership Agreement

Effective date: January 1, 2026

Practice: Heat Wave Health PLLC (“Heat Wave Health,” “we,” “us,” “our”)

Patient/Member: The individual who purchases a membership through our online checkout (“you,” “your,” “Member”).

1. Purpose of this Agreement

This Membership Agreement (“Agreement”) describes the terms under which you enroll in a membership program with Heat Wave Health PLLC, a Washington professional limited liability company providing telehealth services to patients located in states where its clinicians are licensed (currently Washington and Oregon).

By enrolling in a membership, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

2. Nature of the Membership Program

2.1 Membership model. Heat Wave Health operates a membership-based model for midlife and menopausal care. Your membership fee covers access to a defined set of professional services (“Membership Services”) as described in Section 3 and on our website, and does not represent insurance or a guarantee of specific treatments, diagnoses, or outcomes.

2.2 No insurance / not a health plan.

Heat Wave Health is not an insurance company, health plan, or Medicare/Medicaid provider. This membership is a direct care arrangement between you and Heat Wave Health. It:

          • Does not replace health insurance;

          • Does not satisfy any insurance mandate; and

          • Does not cover services provided by other clinicians, facilities, or emergency departments.

You remain responsible for obtaining and maintaining any health insurance coverage you desire.

3. Membership Types and Services

Heat Wave Health currently offers two primary membership tiers, along with optional recurring add-on programs. Specific pricing and inclusions are described on our website and may change over time.

3.1 Essence Membership.

The Essence membership generally includes:

          • Comprehensive initial intake and history;

          • Scheduled follow-up telehealth visits for hormone and midlife care;

          • Ongoing care coordination and medication management within the scope of the membership;

          • Participation in our secure messaging system for non-urgent questions, subject to reasonable response times and clinical appropriateness.

3.2 Radiance Membership.

The Radiance membership includes everything in Essence and may layer in a higher touch or more frequent access model (for example, more frequent visits, extended visit length, or additional proactive outreach), as described on our website and in current marketing materials.

3.3 Optional recurring add-on programs.

At checkout, you may optionally enroll in one or more recurring add-on programs (e.g.):

          • Nutrition & Lifestyle Optimization

          • Metabolic Reset & Weight Support

          • Sexual Health & Vitality

          • Skin & Hair Wellness

Each add-on includes additional structured support/services (such as extra visits or messaging, targeted protocols, or coaching) as described in current program materials on our website at the time of purchase.

3.4 What is not included.

Unless specifically stated otherwise, your membership fee does not include:

          • Laboratory tests, imaging, or other diagnostic studies;

          • Prescription medications, hormones, or compounded products;

          • Durable medical equipment or devices;

          • Services rendered by other healthcare providers, facilities, or emergency departments;

          • Services outside the scope of midlife/menopause-focused care, or outside the licensed scope of practice of your clinician.

We may help coordinate or order labs/medications, but the cost of those items is generally billed to you separately by the lab, pharmacy, or vendor.

3.5 Clinical discretion.

Membership does not guarantee that any specific medication (including hormone replacement therapy), procedure, or treatment will be prescribed or continued. All medical decisions are made at the discretion of your clinician, based on their clinical judgment and applicable standards of care.

4. Fees, Billing, and Payment Authorization

4.1 Membership fees.

You agree to pay the membership fee(s) corresponding to the option(s) you select at checkout, which may include:

          • Essence or Radiance base membership, billed monthly or annually; and

          • Optional recurring add-ons, billed monthly.

4.2 Recurring charges.

By entering your payment information and completing checkout, you authorize Heat Wave Health (through its payment processor, currently Stripe, Inc.) to charge your payment method automatically on a recurring basis according to the billing interval you selected (monthly or annual for the base membership; monthly for add-ons).

4.3 Minimum commitment for monthly memberships.

For monthly memberships, you agree to a minimum commitment of six (6) consecutive months, measured from your membership start date (“Minimum Term”). You understand that:

          • You may submit a cancellation request before the end of the six-month Minimum Term, but

          • Heat Wave Health is not obligated to approve or process a cancellation that would shorten the Minimum Term, except where required by law or at our sole discretion.

4.4 Annual memberships.

Annual memberships are billed as a single upfront payment for the entire 12-month membership period, unless otherwise specified. Unless prohibited by law or explicitly stated otherwise in writing, fees for annual memberships are non-refundable once charged, except in limited circumstances as described in Section 8.

4.5 Payment methods and failed payments.

You agree to maintain a valid payment method on file and to update your information if your card expires, is replaced, or is otherwise invalid. If a payment fails:

          • We may automatically re-attempt the charge;

          • We may contact you to update your payment method; and/or

          • We may suspend or terminate your membership if payment is not brought current within a reasonable time.

4.6 Fee changes.

We may adjust membership and add-on fees for future periods. Any changes will be communicated in advance by email or through our patient portal, and will take effect on your next billing cycle, unless prohibited by law. Continuing the membership after notice of a fee change constitutes acceptance of the new fee.

5. Term, Renewal, and Cancellation

5.1 Start date and renewal.

Your membership starts on the date you complete checkout and is considered active once payment is successfully processed. The membership renews automatically at the end of each billing period (monthly or annual) unless canceled in accordance with this Agreement.

5.2 How to request cancellation.

You may request cancellation by:

          • Submitting a request through our secure patient portal; or

          • Emailing us at info@heatwavehealth.com with your full name and a clear statement that you wish to cancel your membership.

We do not accept cancellation requests via social media or unsecure messaging.

5.3 Timing of cancellation.

Once the Minimum Term (six months for monthly memberships) has been satisfied, a cancellation will typically take effect at the end of your current billing period. We do not generally prorate partial months, unless required by law or explicitly agreed in writing.

5.4 Add-on programs.

You may request cancellation of an add-on program separately from your base membership. Add-on cancellations typically become effective at the end of the current monthly billing cycle.

5.5 Our right to terminate.

We may suspend or terminate your membership (and/or your care relationship) at any time, subject to applicable law, including for:

          • Non-payment or repeated payment failures;

          • Repeated missed or late appointments;

          • Abusive, threatening, or inappropriate conduct toward staff or clinicians;

          • Clinical or ethical conflicts;

          • Relocation outside of states where our clinicians are licensed; or

          • Other circumstances that make it inappropriate to continue the relationship.

Except in cases of fraud, abuse, or immediate safety concerns, we will provide reasonable notice and, when required, emergency coverage and/or referrals.

6. Patient Responsibilities

By enrolling, you agree to:

          • Provide accurate, complete health information and update us as your health changes;

          • Inform us of any changes in your address, contact information, or physical location, especially if you leave the states where we are licensed to practice;

          • Attend scheduled appointments on time and provide adequate notice if you must reschedule;

          • Use our secure portal or other designated channels for non-urgent communication; and

          • Seek immediate in-person or emergency care when indicated (see Section 9).

Failure to meet these responsibilities may limit our ability to provide safe, effective care and may be grounds for termination of the membership.

7. Telehealth Consent

7.1 Telehealth services.

Our services are delivered primarily or exclusively by telehealth (audio, video, and/or other electronic means). By entering this Agreement and using our services, you consent to receive medical care via telehealth.

7.2 Location requirement.

You understand that you must be physically located in a state where your Heat Wave clinician is licensed (currently Washington or Oregon) at the time of each telehealth encounter. You agree to truthfully disclose your location at the time of each visit and to notify your clinician if your location changes during a visit.

7.3 Risks and limitations.

You acknowledge that telehealth has limitations compared to in-person care, including but not limited to:

          • Limited physical examination capability;

          • Technology failures or interruptions;

          • Potential security/privacy risks inherent to electronic communications.

We use reasonable safeguards, but no system can be guaranteed 100% secure.

8. Refunds, Credits, and Chargebacks

8.1 General policy.

Because memberships reserve clinician time and access over a future period, fees are generally non-refundable once a billing period has begun, except where:

          • We are unable to provide services due to our own actions or licensing constraints;

          • Required by applicable law; or

          • We explicitly agree to a partial or full refund in writing.

8.2 Charge disputes and chargebacks.

You agree to contact us first at info@heatwavehealth.com if you have concerns about a charge, so we can attempt to resolve the issue. Initiating a credit card chargeback without giving us a reasonable opportunity to address the concern may be treated as a breach of this Agreement.

8.3 Annual memberships.

For annual memberships, you understand and agree that the upfront fee represents a discounted rate for a 12-month period. Early cancellation does not typically entitle you to a refund of unused months, unless otherwise required by law or agreed to in writing.

9. Emergencies and After-Hours Care

9.1 No emergency services.

Heat Wave Health does not provide emergency care or 24/7 on-call services (other than as required by law for existing patients). If you experience a medical emergency, you must:

          • Call 911 or your local emergency number; or

          • Go to the nearest emergency department or urgent care.

9.2 Crisis situations.

For crisis situations such as suicidal thoughts, severe chest pain, trouble breathing, signs of stroke, or any sudden concerning changes, do not rely on messaging, email, or the membership platform. Use emergency services immediately.

9.3 Non-urgent messages.

We aim to respond to non-urgent portal messages within a reasonable timeframe during normal business hours. Response times may vary based on volume and clinical urgency.

10. Medications, Labs, and External Services

10.1 Prescribing.

Clinicians at Heat Wave Health may prescribe medications, including hormone therapies, only when clinically appropriate and within their scope of practice. You understand that there is no guarantee any particular medication will be initiated or continued.

10.2 Compounded hormones and off-label use.

If compounded preparations or off-label uses are recommended, your clinician will discuss known risks, benefits, and alternatives. You acknowledge that some therapies may not be FDA-approved for the specific indication, and you agree to these terms before proceeding.

10.3 Laboratory testing.

We may order labs that are processed by third-party laboratories. You are responsible for any costs.

10.4 Pharmacies.

We may transmit prescriptions to pharmacies, including compounding pharmacies. You are responsible for the cost of medications.

11. Communications, Technology, and Privacy

11.1 Communication channels.

We may communicate with you via a secure portal, telehealth platform, email, or phone. For sensitive medical information, we will generally use secure methods when feasible.

11.2 Email and SMS.

Unencrypted email or SMS/text may not be fully secure. By providing your email and/or cell number and communicating with us through those channels, you acknowledge and accept the associated risks.

11.3 Privacy practices.

We maintain a separate Notice of Privacy Practices that describes how we use and disclose your protected health information in compliance with applicable law (including HIPAA, where applicable). This Agreement does not replace that Notice. You acknowledge that you have been offered or provided a copy of our Notice of Privacy Practices, or that it is available on our website.

12. Insurance, Reimbursement, and Tax Matters

12.1 No direct billing to insurance.

Heat Wave Health does not bill commercial insurance, Medicare, or Medicaid on your behalf. We may provide, upon request, a summary of services that you can submit to your insurer, but we cannot guarantee reimbursement.

12.2 Medicare beneficiaries.

If you are a Medicare beneficiary, additional rules may apply, and there may be limitations on your ability to be reimbursed.

12.3 Tax treatment.

We cannot provide tax advice. Some patients may be able to use HSA/FSA funds for certain expenses, but you are responsible for determining eligibility and compliance with tax rules.

13. Modifications to this Agreement

We may update or modify this Agreement from time to time. When we do, we will:

          • Post the updated version with a new “Effective date” on our website; and

          • When required, notify existing members by email or through the portal.

For active members, changes will generally apply going forward from the effective date. Continuing your membership after receiving notice of changes may constitute acceptance of the updated Agreement.

14. Electronic Signatures and Records

By:

            • Checking the box indicating you have read and agree to this Membership Agreement; and

            • Clicking the button to complete your membership purchase,

you agree that your actions constitute your electronic signature and that this Agreement may be maintained in electronic form. You consent to the use of electronic records and signatures in connection with this Agreement and your relationship with Heat Wave Health.

15. Governing Law and Dispute Resolution

15.1 Governing law.

This Agreement is governed by the laws of the State of Washington, without regard to its conflict-of-law principles, unless the laws of another state where you receive services require otherwise.

15.2 Venue.

Any dispute arising out of or related to this Agreement that cannot be resolved informally shall be brought in the state or federal courts located in Spokane County, Washington, unless otherwise required by law.

15.3 Good-faith resolution.

You agree to first attempt to resolve any concerns or disputes in good faith by contacting us at info@heatwavehealth.com before initiating formal legal action or chargebacks, except where immediate legal action is required to preserve your rights.

16. Entire Agreement and Severability

This Agreement constitutes the entire understanding between you and Heat Wave Health regarding the membership program and supersedes any prior written or verbal agreements concerning the membership.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

By enrolling in a membership and completing checkout, you acknowledge that you have read, understood, and agree to be bound by this Membership Agreement.
